Client Service Agreement

What we build for you, how you pay, refunds, hosting and the Care plan. Plain English, one page. Effective October 14, 2026.

Paying the first half at checkout, signing below, or checking the box on our build form means you agree to these terms. Questions first? Email [email protected] and a person answers.

1. Who this agreement is between

This Client Service Agreement (the "Agreement") is between Duesmart Inc, a Georgia corporation doing business as Visit Walkthrough by DueSmart, at 7050 New Dale Rd, Suite A, Rex, GA 30273 ("Duesmart," "we" or "us"), and the business named at checkout or in the signature block ("the Client" or "you").

What we provide. A visit walkthrough: a short narrated web link the Client texts to its own customers before a visit. It shows who is coming or who they will see, what will happen, and what it will cost, with the package features listed in Schedule A. We build it for the Client. The Client does not install software.

How it is accepted. The Client accepts this Agreement when it pays the first half at checkout, when it signs below, or when it checks the agreement box on our forms, whichever happens first. The Agreement starts that day (the "Start Date").

2. What we build

  1. The package. We build the package the Client paid for, as described in Schedule A, using the Client's company name, logo, colors, people, visit steps and prices.
  2. The build form. After the first payment, the Client fills in our build form (intake.duesmart.com/build/) with its details, steps, prices and logo. We start building once we have it.
  3. First call and go-live date. We set a target go-live date together on the first call, once we know the steps and how many services or trades the walkthrough covers. Our standard turnaround is a first review link within 7 business days after we receive the Client's completed build form. Larger builds with several services or trades may take longer, and we will say so on the first call.
  4. Review link. We send the Client a private review link before anything goes live.
  5. Two rounds of changes. Every package includes two rounds of changes. A round is one list of changes sent together. More changes after that are $125 an hour, quoted before we start.
  6. Go live. The walkthrough goes live when the Client approves it. If the Client has not asked for changes within 14 days after we send a review link, the walkthrough is treated as approved. We send a reminder at least 3 days before that happens.
  7. Delays on the Client's side. If we are waiting on the Client's details, approvals or answers for more than 30 days, we may pause the build. We restart when the Client is ready.
  8. Samples. The people, companies and prices in our sample demos are made up. The Client's walkthrough uses the Client's real details.

3. Price and payment

  1. Half to start, half at go live. The Client pays half the package price at checkout to start the build, and the other half when the walkthrough is approved and goes live.
  2. How payment works. All payments go through Stripe's secure checkout. We never take card numbers by phone, text or email.
  3. Second half. We send the second half pay link with the approved walkthrough. The live link is turned on when the second half is paid.
  4. Care plan. The Care plan is $97 a month, billed monthly by Stripe. It is required for Demo plus Voice and optional for the other packages. The Client may cancel it at any time, effective at the end of the month already paid.
  5. Refunds. The refund rules are:
    • Before we start building (before the build form is reviewed), the Client may cancel for a full refund of the first half.
    • Once building has started, the first half pays for work already done and is not refunded, except where we fail to deliver the walkthrough described in Schedule A.
    • The second half is due only when the Client approves the walkthrough.
    • Care plan months already paid are not refunded.
  6. Late payment. If the second half is not paid within 30 days after approval, the walkthrough stays offline until it is paid.
  7. Taxes. Prices do not include any sales tax that may apply.
  8. Price changes. We may change package prices for new orders at any time. A price change never applies to a package the Client has already paid the first half of. We give at least 30 days' notice by email before changing the Care plan price.

4. What the Client does

  1. Accurate details. The Client gives us true and current details: people, steps, prices, policies, hours and licenses. The Client is responsible for what its walkthrough says about its own services and prices, and tells us when something changes.
  2. Rights to what it sends. The Client confirms it owns or has permission to use every logo, photo, name and piece of text it sends us, and that its staff agreed to have their names and photos shown.
  3. Texting its customers. The Client sends the walkthrough link to its own customers, from its own phone or texting tools. The Client is responsible for having its customers' permission to text them and for following texting laws, including the Telephone Consumer Protection Act and state rules. We do not send texts to the Client's customers.
  4. Reviews. The walkthrough's review button asks every customer for a review. The Client agrees not to ask us to show it only to happy customers or to hide unhappy ones, and not to offer anything in exchange for good reviews, as the FTC's consumer review rule and the review sites require.
  5. Lawful use. The Client uses the walkthrough only for its own lawful business, and only for the services described in it.
  6. One contact person. The Client names one person who can approve the build and request changes.

5. The talking helper, privacy and data

  1. What the talking helper knows. On Demo plus Voice, the talking helper answers questions using only the information the Client gives us: services, hours, prices and policies. The Client reviews what it says before go live. It points everything else to the Client's office.
  2. What it is not. The talking helper does not give medical, legal or financial advice, does not book or cancel appointments unless we have built that in, and is not for emergencies. It tells callers it is an automated helper, not a person.
  3. Fair use. Calls with the talking helper have a time limit per call and a reasonable limit per month, so the service stays affordable. If a Client's volume grows well past normal use, we will talk with the Client about a plan that fits before changing anything.
  4. Health practices. For clinics and health practices, the walkthrough describes the visit in general terms. Personal links carry only a first name, a visit time, the provider's name and a price. The Client agrees not to send us any patient's health information, and we do not ask for it.
  5. Customer details. Personal links are made on the Client's own device. We do not keep a list of the Client's customers' names or phone numbers.
  6. Counts. We count how many links were made, opened, watched, approved and reviewed, so we can report to the Client how the walkthrough is working. These counts carry no customer names. We never sell the Client's data.
  7. Keeping things private. Each side keeps the other's non-public business information private and uses it only for this Agreement.

6. Hosting, Care plan and ownership

  1. Hosting. We host the Client's walkthrough link. With an active Care plan, hosting continues for as long as the Care plan does. Without a Care plan, we host the Starter or Business walkthrough for at least 12 months after go live at no extra charge. After that, the Client may add the Care plan to keep it online.
  2. What Care includes. Hosting, keeping the walkthrough working, the talking helper on Demo plus Voice, and small updates such as a new price, a new staff member or a changed step. Larger changes, such as a new service or a new walkthrough, are quoted separately.
  3. If Care ends. On Demo plus Voice, the talking helper turns off when the Care plan ends. The rest of the walkthrough follows the hosting terms above.
  4. What the Client owns. The Client owns its own content: its name, logo, photos, prices and the words it gives us.
  5. What we own. We own the Visit Walkthrough platform, software, page designs, templates, narration and voice technology, and our know-how. The Client gets the right to use its walkthrough for its own business while we host it.
  6. Showing our work. We may name the Client as a customer and show its walkthrough as an example only with the Client's written permission, which it may refuse.
  7. Uptime. We work to keep every link online, but cannot promise it will never be down. We fix problems as quickly as we reasonably can.

7. Results, responsibility and ending the agreement

  1. No guaranteed results. We build the walkthrough to help customers feel ready, show up and say yes, but we do not promise any result, such as fewer no shows, fewer calls, more jobs, better reviews or more revenue. Industry figures we share are ranges, not promises.
  2. Our promise. We build what Schedule A describes, with reasonable skill and care. If something we built does not work as described, we fix it at no charge.
  3. Limits. Neither side is liable to the other for lost profits or indirect damages. Our total responsibility under this Agreement is limited to the amount the Client paid us in the 12 months before the claim.
  4. Each side's own actions. The Client is responsible for claims caused by its own content, prices, services or texting. We are responsible for claims caused by our platform.
  5. Ending it. Either side may end this Agreement by email with 30 days' notice. Ending it does not undo payments already due. If the Client ends it before go live, the refund terms in Section 3 apply.
  6. Ending it for a serious breach. Either side may end this Agreement right away by email if the other side seriously breaks it and does not fix the problem within 10 days of notice.
  7. Georgia law. Georgia law governs this Agreement. Any dispute goes first to a good faith call between the owners, then to the state or federal courts serving Clayton County, Georgia.
  8. Whole agreement. This Agreement, with Schedule A and our sales page as of the Start Date, is the whole agreement. Changes must be in writing, and email counts. If a court finds any part unenforceable, the rest still applies.
  9. Notices. Our address for notices is [email protected]. The Client's is the email it gave at checkout or on the build form.
  10. Electronic acceptance. Accepting at checkout, by checkbox or by typed name is the same as signing on paper.
